"Services"
Our anti-financial crime solutions including AML, KYC, transaction monitoring, and compliance tools.
"Client"
Any individual or entity using our Services.
"Agreement"
These Terms and any related Service Level Agreement.

Interpretation

  • References to legislation include amendments
  • "Including" means including without limitation
  • Headings are for convenience only

2 Services Description

Anti-Financial Crime Solutions

TitanAxe Solutions Ltd provides comprehensive anti-financial crime solutions including but not limited to:

Transaction Monitoring
Customer Due Diligence (CDD)
Sanctions Screening
Risk Assessment Tools

Service Limitations

Our Services are designed to assist with compliance but do not constitute legal advice.

Final regulatory compliance decisions remain the Client's responsibility.

We reserve the right to modify or discontinue Services with 30 days' notice.

3 Client Obligations

Compliance Responsibilities

  • Provide accurate and complete information
  • Maintain proper licenses and registrations
  • Cooperate with regulatory investigations
  • Implement recommended security measures

Security Requirements

  • Maintain secure access credentials
  • Restrict access to authorized personnel only
  • Report security incidents within 24 hours
  • Maintain audit trails for 7 years

Prohibited Activities

Using Services for illegal activities
Circumventing security measures
Reverse engineering our software
Reselling Services without permission

4 Fees & Payment Terms

Monthly/Annual Net 30 days 1.5% monthly
Implementation
Project Basis 50% upfront, 50% on completion As per contract
Support & Maintenance
Annual Net 15 days 2% monthly

Additional Payment Information

Taxes

All fees are exclusive of taxes. Client is responsible for all applicable taxes.

Price Changes

We may adjust prices with 60 days' notice. Existing contracts honored until renewal.

5 Liability & Warranties

Limited Warranty

TitanAxe Solutions Ltd warrants that our Services will perform substantially in accordance with published documentation. This warranty is subject to proper use and excludes:

Modifications not made by us
Use with unauthorized hardware/software
Force majeure events
Beta or trial services

Limitation of Liability

Total Liability Cap

Our total liability shall not exceed 12 months of fees paid.

Excluded Damages

We are not liable for indirect, consequential, or punitive damages.

6 Termination

Termination Rights

By Client

End of contract term with 30 days notice

For Cause

Material breach with 14 days to cure

Post-Termination

  • Data export available for 30 days
  • Data deletion after 90 days
  • Outstanding invoices remain payable

7 General Provisions

Governing Law

English law, with exclusive jurisdiction in London courts.

Entire Agreement

These terms constitute the entire agreement between parties.

Amendments

Changes require written agreement signed by both parties.
